2.Definitions

“BizVanta,” “we,” “us,” and “our” refer to the BizVanta service and its operator.

“User” means a person or organization using the Service.

“Creator” means a person or entity offering creator, influencer, content, promotional, marketing, or related services.

“Business” or “Brand” means an individual, company, organization, advertiser, or other entity using the Service to discover or work with Creators.

“Campaign” means a project, collaboration, promotional activity, or opportunity published by a Business.

“Content” means information, text, photographs, videos, profile details, links, messages, reviews, campaign materials, and other materials submitted or displayed through the Service.

3.Eligibility and authority

You must be legally capable of entering into a binding agreement under applicable law.

If you act for a business or organization, you represent that you have authority to act on its behalf.

You must provide accurate account information and must not impersonate others, misrepresent your identity, or submit knowingly false information.

4.Accounts and security

You are responsible for maintaining appropriate security over your account and login credentials, keeping your information accurate, and reporting suspected unauthorized access.

You must not sell, rent, transfer, or misuse an account.

BizVanta may apply reasonable account-security measures and request information necessary to address suspected fraud, abuse, or security concerns.

5.Nature of the Service

BizVanta provides technology intended to help Businesses and Creators discover one another, communicate, publish opportunities, apply to campaigns, and potentially establish independent commercial relationships.

BizVanta is a platform provider. Unless separately and expressly agreed in writing, BizVanta is not a party to agreements between Businesses and Creators and does not act as their employer, agent, fiduciary, talent agency, advertising agency, or guarantor.

BizVanta does not negotiate or guarantee individual collaborations.

6.Independent user relationships

Businesses and Creators independently decide whether to collaborate and are responsible for their own negotiations, contracts, deliverables, deadlines, compensation, usage rights, confidentiality, exclusivity, cancellation terms, refunds, taxes, and legal compliance.

Users should document material commercial agreements directly with one another.

BizVanta does not guarantee that a collaboration will occur, that either party will perform, or that a commercial outcome will be successful.

7.No universal verification or performance guarantee

Profiles, audience figures, social links, ratings, reviews, and other information may be supplied by users or third parties.

Unless a particular check is explicitly described and actually performed, BizVanta does not guarantee a user's identity, business ownership, qualifications, audience authenticity, follower counts, engagement, honesty, payment, or performance.

Users must conduct appropriate due diligence before relying on another user.

8.Campaigns and applications

Businesses are responsible for the accuracy and legality of their Campaigns, compensation offers, requirements, products, advertising claims, and instructions.

Creators are responsible for the accuracy of their applications, qualifications, audience information, and representations about their ability to perform work.

An application does not guarantee selection. A published Campaign does not guarantee applications or successful collaboration.

9.Payments and taxes

At launch, BizVanta does not process, hold, escrow, or guarantee payments between Businesses and Creators.

Users are responsible for their own payment arrangements, invoices, refunds, disputes, chargebacks, currency conversion, taxes, and related financial obligations.

BizVanta does not provide tax or financial advice.

If payment functionality is introduced later, additional terms must be presented before that functionality is used.

10.Advertising and legal compliance

Businesses and Creators are responsible for complying with applicable advertising, influencer-marketing, consumer-protection, endorsement, disclosure, competition, and product-promotion laws.

Creators must make disclosures required for endorsements or sponsored content. Businesses must not require unlawful or misleading advertising.

Each user is responsible for obtaining any permissions, licences, approvals, or authorizations required for their activities.

11.User Content and intellectual property

Users retain ownership of content they legally own.

By submitting content to BizVanta, you grant BizVanta a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, display, transmit, and process that content only as reasonably necessary to operate, secure, maintain, support, and improve the Service, subject to applicable law and the Privacy Policy.

You represent that you have the necessary rights and permissions to submit the content.

BizVanta does not acquire ownership of user content merely because it is uploaded.

You must not infringe another person's copyrights, trademarks, privacy, publicity rights, or other legal rights.

12.Prohibited conduct

You must not use the Service to:

• Commit fraud, impersonation, deception, or unlawful activity.
• Submit knowingly false information.
• Harass, threaten, abuse, or unlawfully discriminate against another person.
• Publish fraudulent Campaigns or fake collaboration opportunities.
• Manipulate ratings or reviews.
• Send spam or malicious material.
• Attempt unauthorized access or interfere with platform security.
• Scrape, copy, or collect personal information without authorization.
• Infringe intellectual-property rights.
• Misuse private or confidential information.
• Promote unlawful products or services.
• Exploit or endanger minors.
• Circumvent restrictions imposed for security or abuse prevention.

13.Messaging, complaints, and moderation

Users are responsible for their communications and interactions.

BizVanta may provide reporting, blocking, messaging, and moderation features. Where reasonably necessary and legally permitted, BizVanta may investigate reports, remove content, restrict features, suspend accounts, terminate accounts, or preserve relevant records.

A report does not guarantee a particular outcome. BizVanta does not guarantee that every report will be investigated to a particular standard or that all harmful conduct will be detected.

Nothing in this section removes mandatory legal obligations.

14.Safety and interactions between users

Users are responsible for assessing risks before sharing information, meeting other users, sending products, arranging travel, or entering into commercial relationships.

BizVanta cannot guarantee that all users are safe, honest, or trustworthy.

To the maximum extent permitted by applicable law, BizVanta is not responsible for disputes, fraud, non-payment, contractual breaches, harassment, misconduct, defective products, poor-quality services, intellectual-property disputes, property damage, or personal injury arising from interactions between users.

This provision does not exclude liability that applicable law does not permit BizVanta to exclude.

15.Ratings and reviews

Reviews must reflect genuine experiences and must not be fabricated, manipulated, purchased deceptively, or used to threaten another user.

BizVanta may remove reviews that violate these Terms or applicable law.

Reviews represent user opinions, not guarantees or endorsements by BizVanta.

16.Privacy

Personal information is handled as described in the Privacy Policy.

Users must not collect, disclose, or misuse another person's personal information without a lawful basis or necessary authorization.

BizVanta will address applicable privacy rights according to the laws that apply to the relevant processing. These Terms do not replace any required privacy notice or consent.

17.Automated systems

BizVanta may use automated technologies to support search, recommendations, categorization, security, spam prevention, account protection, and moderation.

Automated systems may make mistakes. Any legally required rights or safeguards relating to automated decision-making remain applicable.

18.Third-party services

The Service may link to or interact with third-party platforms, including social networks and external websites.

Those services are governed by their own terms and privacy policies. BizVanta does not control third-party services and does not guarantee their accuracy, security, availability, or continued operation.

19.Free trials and future paid services

Eligible Businesses may receive a six-calendar-month free trial, subject to the conditions shown during registration or in their account.

Trial expiration may restrict features designated as trial-dependent. Unless separately disclosed and agreed, trial expiration does not automatically mean that a user will be charged or that their account will be deleted.

Creators remain free to use the Service under the current business model.

If paid subscriptions are introduced, applicable prices, billing arrangements, renewal terms, and cancellation conditions must be clearly presented before a user becomes liable for payment.

20.Suspension and termination

BizVanta may restrict or terminate access where reasonably necessary to enforce these Terms, address fraud or abuse, protect users, maintain security, comply with law, or respond to a valid legal requirement.

Where appropriate and legally required, BizVanta will provide notice and an opportunity to respond.

Users may stop using the Service at any time.

Following termination, access may be disabled and profiles or Campaigns may be removed or restricted. Information may be retained where legally required or reasonably necessary for security, dispute resolution, compliance, or legitimate operational purposes, subject to applicable law.

21.Availability and changes

BizVanta does not guarantee uninterrupted, error-free, or permanently available service.

Features may be modified, suspended, or discontinued for operational, security, legal, or business reasons. Mandatory legal rights remain unaffected.

22.Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis.

BizVanta does not warrant that user-supplied information is accurate, that another user will perform, that Campaigns will succeed, or that the Service will meet every user's expectations.

Nothing in these Terms excludes or limits a warranty, duty, or right that cannot legally be excluded or limited.

23.Limitation of liability

To the maximum extent permitted by applicable law, BizVanta and its operators, affiliates, service providers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunities, goodwill, reputation, or data arising from use of the Service.

This includes losses arising from failed collaborations, user misconduct, unpaid invoices, third-party services, service interruptions, unauthorized access, or disputes between users.

This provision does not exclude or limit liability for matters that cannot lawfully be excluded or limited, including any liability that applicable law requires to remain with BizVanta.

No monetary liability cap is established by this clause.

24.Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify BizVanta and its operators, affiliates, service providers, and representatives against third-party claims and reasonable costs arising from your unlawful conduct, infringement of third-party rights, User Content, violation of these Terms, or breach of an agreement with another user.

Where appropriate, the parties will cooperate in the defence of a claim. BizVanta will not use this clause to transfer liability to a user where such transfer is prohibited by law.

25.Force majeure

BizVanta is not responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, power or internet failures, cyberattacks, and third-party infrastructure failures, subject to applicable law.

26.Governing law and disputes

BizVanta has not specified a governing jurisdiction in these Terms.

Users may contact support@bizvanta.org to attempt good-faith resolution of a dispute.

Nothing in these Terms prevents a user from exercising mandatory rights or seeking relief from a court or authority where legally entitled to do so.

The governing-law and dispute-resolution provisions must be reviewed before a specific jurisdiction or exclusive court is designated.

27.Consumer rights

Nothing in these Terms removes mandatory consumer rights or other protections that cannot legally be waived.

If a provision conflicts with mandatory applicable law, that law prevails to the extent required.

28.Changes to these Terms

BizVanta may update these Terms from time to time.

The current version and its effective date will be displayed on the website. Where required, BizVanta will provide notice or request renewed acceptance of material changes.

Continued use is not treated as consent where applicable law requires another form of acceptance.

29.General provisions

If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law.

Failure to enforce a provision immediately does not waive the right to enforce it later.

These Terms do not create a partnership, joint venture, employment relationship, or agency relationship between BizVanta and a user.

Users may not transfer their rights or obligations where doing so is prohibited by these Terms or applicable law.

31.Final understanding

BizVanta provides technology to facilitate connections between Businesses and Creators. Users independently evaluate, negotiate, contract, pay, and perform their collaborations.

To the maximum extent permitted by applicable law, BizVanta is not responsible for losses arising from user-to-user relationships, including non-payment, fraud, misconduct, failed collaborations, contractual disputes, or defective products and services.

Nothing in these Terms excludes or restricts rights or liabilities that cannot legally be excluded or restricted.
